1. Acceptance of Terms

By accessing or purchasing any course, sandbox, toolkit, license, support, or service (“Services”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, do not use the Services.

2. Eligibility; Business Use

You represent that you are at least 18, capable of entering a binding contract, and using the Services for business or professional purposes, not as a consumer.

3. Accounts & Access

• You must keep credentials confidential and are responsible for all activity under your account.
• We may throttle, suspend, or terminate access for misuse, suspected fraud, or non-payment, at our sole discretion.

4. Service Hours & Scheduling

• Monthly Consulting includes up to 16 hours per month, delivered in sessions of up to 2 hours each.
• Scheduling requires at least 48 hours’ notice; availability is first-come, first-served within business hours.
• Unused hours do not roll over or convert to credits, refunds, or discounts.
• Time is tracked in 30-minute increments. Overage requires prior written approval and may be billed separately.

5. Pricing, Taxes, and Payment Authorization

• All prices are listed in U.S. Dollars (USD) and exclude taxes unless explicitly stated otherwise. Applicable taxes (sales, VAT, GST, withholding, etc.) may be charged and are your responsibility.
• All payments are processed securely through third-party payment processors, primarily Stripe, Inc. (“Stripe”). We do not collect or store your full credit card or bank account information. By purchasing, you agree to also be bound by Stripe’s Services Agreement and any applicable Payment Processor terms.
• You authorize React AI Labs and/or its payment processors to automatically charge the payment method you provide for all amounts due, including recurring subscription fees (if applicable), taxes, and any late charges. You further authorize adjustments for failed, corrected, or disputed transactions.
• Stripe and other processors may decline, delay, or reverse transactions at their sole discretion. React AI Labs shall not be liable for processing errors, delays, or losses caused by Stripe, card networks, acquiring banks, or other intermediaries.
• You agree not to initiate chargebacks or disputes without first notifying us at sales@reactailabs.com. Unauthorized chargebacks constitute a material breach of these Terms.

6. Strict No-Refund Policy

All sales are final. We do not offer refunds, returns, credits, or exchanges for any digital content, course, sandbox access, license, support, or consulting, including partial periods or unused Services. By purchasing, you expressly waive any right to a refund to the maximum extent permitted by law.

7. Intellectual Property & License

• All content, materials, curricula, labs, code snippets, toolkits, and documentation (“Materials”) are owned by React AI Labs and its licensors.
• Subject to payment and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access the Materials solely for your internal use.
• You may not sublicense, resell, distribute, or publicly share the Materials, nor remove proprietary notices.

8. Acceptable Use (Strict)

• No scraping, automated harvesting, model/data extraction, or dataset building from Materials.
• No security testing, reverse engineering, or probing except with our prior written consent.
• No unlawful, infringing, or harmful activities (including privacy violations, IP infringement, or circumvention of technical controls).

9. Sandbox & Third-Party Services

Sandbox and labs may integrate third-party APIs, LLMs, vector databases, or payment processors. You are solely responsible for your keys, usage, costs, and compliance with third-party terms. Service levels for third-party providers are not guaranteed.

10. Beta Features

Beta or experimental features are provided “as is,” may break or be withdrawn without notice, and are excluded from any support or uptime commitments.

11. Confidentiality

Any non-public information we disclose is confidential. You must protect it with reasonable measures and use it only to access the Services.

12. Security

We implement technical and organizational measures appropriate for a small training provider (see our Security page). You acknowledge no system is perfectly secure.

13. Disclaimers

THE SERVICES AND MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY OUTCOME, RESULT, OR EMPLOYABILITY.

14. Limitation of Liability (Maximum)

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REACT AI LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR LOST-PROFIT DAMAGES, INCLUDING LOSS OF DATA OR BUSINESS INTERRUPTION. OUR AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE LESSER OF (A) ONE HUNDRED U.S. DOLLARS (USD $100) OR (B) THE TOTAL AMOUNT YOU PAID US FOR THE SERVICES IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM. MULTIPLE CLAIMS SHALL NOT ENLARGE THIS LIMITATION.

15. Indemnification

You will defend, indemnify, and hold harmless React AI Labs from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, breach of these Terms, or violation of any law or third-party right.

16. Termination

We may suspend or terminate access immediately for any breach, suspected fraud, or risk. Upon termination, your license ends and you must cease use of the Materials. Sections intended to survive (including 5–16) shall survive.

17. Governing Law; Mandatory Arbitration; Class-Action Waiver

• Governing law: State of Wyoming, without regard to conflicts of laws.
• Any dispute shall be resolved by binding individual arbitration in Sheridan County, Wyoming under AAA Commercial Rules.
• No class actions or consolidated claims. You waive any right to a jury trial.

18. Export Controls, Sanctions, and Restricted Use

You acknowledge and agree that the Services, Materials, and any related technical data are subject to U.S. export control and economic sanctions laws, including but not limited to the Export Administration Regulations (EAR) and regulations administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC).

• You may not access, use, export, re-export, release, or transfer the Services (a) into any country subject to U.S. embargo or comprehensive sanctions (including, without limitation, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine), or (b) to any person or entity on U.S. government restricted parties lists (including the Specially Designated Nationals list or Entity List).
• You represent and warrant that you are not located in, under the control of, or a national or resident of any such country, region, or restricted party.
• You shall not use the Services for any purpose prohibited by U.S. law, including nuclear, missile, chemical, or biological weapons proliferation.

Any attempted access or use in violation of this Section is strictly prohibited and constitutes grounds for immediate termination without refund.

19. Modifications

We may update these Terms prospectively by posting a new version. Continued use constitutes acceptance. Material changes may be notified by email to your account address.
